SP2DK Indonesia 2026: How a PT PMA Should Respond to a Tax Office Query Letter

SP2DK Indonesia 2026: How a PT PMA Should Respond to a Tax Office Query Letter

If the Indonesian tax office has sent your company an SP2DK (Surat Permintaan Penjelasan atas Data dan/atau Keterangan — a letter asking you to explain data the tax office holds about you), the response clock has already started. An SP2DK is not a tax assessment, but a weak or late answer can lead to a discussion meeting, a site visit, or a formal tax audit. The short answer for any PT PMA (foreign-owned limited liability company): respond in writing, with evidence, within 14 days, ideally through Coretax — and treat the letter as part of your wider PT PMA tax obligations in Indonesia.

What Is an SP2DK in Indonesia and Why Did Your PT PMA Receive One?

An SP2DK is a supervision letter issued by your local Tax Service Office (Kantor Pelayanan Pajak / KPP) under the Directorate General of Taxes (Direktorat Jenderal Pajak / DJP). It states that DJP’s data indicates a tax obligation may not have been fully met, and asks the company to either fulfil the obligation or explain the difference. DJP builds these letters from data it already holds, such as tax returns, tax invoices and withholding tax slips.

Indonesia uses a self-assessment system: the company calculates, pays and reports its own tax, and DJP supervises and, where needed, audits. Since 1 January 2026, SP2DK procedures follow PMK No. 111 of 2025 (Peraturan Menteri Keuangan — Minister of Finance Regulation on Taxpayer Compliance Supervision). An SP2DK can be delivered through your Coretax Taxpayer Account, by email, by post or courier, or by hand.

Critical SP2DK and Tax Audit Deadlines

Deadlines are short, and several cannot be recovered once missed.

Stage

Legal deadline

Legal basis

Consequence if missed

SP2DK response

14 days from the earliest of: issue date in your Taxpayer Account, dispatch date (email, post, courier) or hand-delivery date

PMK 111/2025, Art. 6(2)

DJP may invite you to a discussion and/or visit your premises, and may propose further action, including a tax audit.

SP2DK extension

Up to 7 more days; written notice must reach the KPP before the 14 days end

PMK 111/2025, Art. 6(5)–(6)

A notice that reaches the KPP after the 14 days does not meet the regulation’s requirement.

Signing SP2DK minutes

5 working days from receipt of the draft minutes

PMK 111/2025, Art. 25(6)–(7)

You are treated as having attended but refused to sign.

Audit: books and documents

1 month from the request letter

PMK 15/2025, Art. 12(2), (4)

Documents delivered later are treated as not provided during the audit.

Audit: response to findings (SPHP)

5 working days from receipt

PMK 15/2025, Art. 18(2)

A record of non-response is made; tax is calculated on the SPHP.

Audit: request QA team review

3 working days after signing the discussion record

PMK 15/2025, Art. 19(3)

You are called to sign the final minutes without a QA review.

Important: PMK 111/2025 states the SP2DK deadline as 14 “days” (hari), not “working days” (hari kerja), while the audit deadlines above are in working days. Treat the SP2DK deadline as 14 calendar days, counted from the earliest delivery event, not from the day you first open the letter.

Four SP2DK Risk Scenarios Every PT PMA Should Know

These four scenarios show how data mismatches create SP2DK exposure. Each one is manageable if the supporting evidence exists.

1. Revenue Mismatch Between Corporate Income Tax and VAT Returns

Risk: DJP’s systems compare revenue in the annual corporate income tax return (SPT Tahunan PPh Badan) with the VAT tax base (DPP) in the monthly VAT returns (SPT Masa PPN). If the income tax return shows Rp50 billion but the VAT returns show Rp42 billion, DJP may suspect tax invoices were never issued.

Exposure: an underpaid-VAT assessment letter (SKPKB) with administrative sanctions under Article 13 of the KUP Law, including an increase of 75% of the unpaid VAT.

Valid explanations (not violations): timing differences between accounting recognition and the moment VAT becomes due, down payments, and exports of services that receive special VAT treatment.

Best response: a revenue reconciliation workpaper (income tax versus VAT), backed by invoices and the accrual ledger.

2. Related-Party Transactions and Interest-Free Loans (Transfer Pricing)

Risk: your company lends money to a group company without interest, or buys goods or services from its foreign parent at above-market prices.

Exposure: DJP can adjust the transaction under the arm’s length principle (prinsip kewajaran dan kelaziman usaha) and may treat the price or interest difference as a disguised dividend, creating withholding tax under PPh Article 26 or 23 (income tax withheld on payments such as dividends, interest and services). (Note: The disguised-dividend treatment reflects general audit practice as of 2026; verify current rules at pajak.go.id.)

Best response: transfer pricing documentation (Master File and Local File) plus an arm’s length analysis. A company must prepare these documents if prior-year gross turnover exceeds Rp50 billion, or if related-party transactions exceed Rp20 billion (tangible goods) or Rp5 billion (services, interest and other transactions). They must be available within four months after the tax year ends.

3. Payments to Foreign Vendors: Withholding Tax Article 26 and VAT on Offshore Services

Risk: management fees, software licences or consulting fees paid to foreign vendors are booked as operating expenses, but the company did not withhold PPh Article 26 or self-assess VAT on services from outside Indonesia (PPN Jasa Luar Negeri).

Exposure: the expense is disallowed in the corporate income tax return (non-deductible), plus a PPh 26 bill at 20% (or the lower tax treaty rate), a VAT bill and interest sanctions.

Best response: the applicable tax treaty (P3B), a valid Certificate of Domicile (Form DGT) from the foreign vendor, and evidence of where the service result is used, because this determines the VAT treatment.

Source: UU No. 36 Tahun 2008 tentang PPh, Pasal 26; UU PPN sebagaimana diubah dengan UU HPP; DJP — pajak.go.id

4. Payroll Mismatch: Employee Benefits Versus PPh 21

Risk: employee welfare costs in the financial statements are high but do not match the income reported in monthly PPh 21 returns (SPT Masa PPh 21 — employee income tax withholding).

Exposure: DJP may claim that PPh 21 was under-withheld, or reclassify the cost as non-deductible in the corporate income tax return.

Best response: a breakdown separating benefits in kind (natura) that are excluded from PPh 21 under PMK 66/2023, reconciled to payroll records. DJP states that an employer can deduct benefits in kind if they relate to earning, collecting and maintaining income and are taxable to the employee; the regulation lists specific exclusions, such as meals provided to all employees.

Step-by-Step Playbook: How to Respond to an SP2DK in Indonesia

  1. Reconcile internally (days 1–3). Match every point in the SP2DK findings list to your ledger, tax returns and invoices. Decide whether each point is a “false alarm” (a recording difference) or a “true error” (a real mistake).

  2. Build a rebuttal package. Use a narrative-matrix table with five columns: DJP data, your data, the difference, the legal explanation, and the list of evidence. If you disagree with any DJP data, the explanation must be accompanied by supporting documents. Attach contracts, bank statements, invoices, tax invoices and the Coretax electronic receipt (BPE).

  3. Choose your strategy. Option A — your position is correct: defend it with legal arguments and workpapers, and do not amend the return. Option B — an operational error occurred: correct the tax return and pay the shortfall plus interest under Article 8 of the KUP Law. This is usually cheaper than an assessment issued after an audit, because Article 13 interest is calculated with a higher uplift (15%) than Article 8 interest (5%) on top of the reference rate.

  4. Submit through Coretax. Go to Taxpayer Services → Administrative Services → Create Administrative Service Request → AS.29 → AS.29-03 (Response to SP2DK). Confirm the case status shows “Case Closed”, then download the BPE from your Documents menu. You can also deliver the response in person, or by post or courier, to the KPP that issued the letter.

  5. Know your escalation rights. If an audit follows, you can request a discussion with the Quality Assurance (QA) team when only the legal basis of a correction is disputed. If an assessment letter does not reflect the facts, you can file an objection (keberatan) and then appeal to the Tax Court (Pengadilan Pajak).

Important: once a tax audit notice has been delivered, you can no longer correct tax returns within the audit scope. You can still disclose errors in a separate report, provided the audit findings letter (SPHP) has not yet been delivered.

If the SP2DK escalates to an audit: you receive an audit notice and order (SP2); you have 1 month to provide requested documents (third-party and additional documents can still be submitted until the final minutes are signed); interim findings are discussed at least 1 month before testing ends; you then have 5 working days to answer the findings letter (SPHP), followed by a final discussion (closing conference) and an optional QA team review that is binding. Audits last up to 5 months (complete), 3 months (focused) or 1 month (specific).

Conclusion: Treat SP2DK and Tax Audits as Corporate Risk Management

An SP2DK and a tax audit are part of corporate risk management for every PT PMA. Three factors decide the outcome: speed (meeting the PMK 111/2025 timeline), valid evidence (bookkeeping documents that withstand review) and consistency between accounting reports, legal contracts and tax filings.

How GMS Agency Helps PT PMA Owners Stay Tax Compliant

Most SP2DK letters begin with a mismatch between two documents that should agree: the income tax return and VAT returns, payroll and benefits, or contracts and withholding tax. GMS Agency (Global Mega Servis) is a Bali-based business services firm serving foreign entrepreneurs across Indonesia. Its Tax & Accounting team handles monthly bookkeeping, PPh and PPN filings (income tax and VAT), annual corporate and personal tax returns, and LKPM compliance reporting — in English, French or Bahasa Indonesia — so the numbers are consistent before DJP compares them. For foreign owners seeking a tax accountant in Bali, the practical way to stay tax compliant in Indonesia is monthly reconciliation — and if a letter has already arrived, share it with your accountant at once, because the 14-day clock has started.

Frequently Asked Questions

Is an SP2DK the same as a tax audit in Indonesia?

No. An SP2DK is a supervision step in which DJP asks you to explain data, while a tax audit (pemeriksaan) is a separate procedure that starts with an audit notice and can end in an assessment letter. An SP2DK can, however, end with a proposal for an audit. (Source: PMK No. 111 Tahun 2025, Pasal 8; PMK No. 15 Tahun 2025)

Can I get more time to respond to an SP2DK?

Yes. You can extend the response period by up to 7 days by sending written notice to the KPP that issued the letter. The KPP must receive the notice before the original 14 days expire. (Source: PMK No. 111 Tahun 2025, Pasal 6 ayat (5)–(6))

What happens if I ignore an SP2DK?

DJP can invite you to a discussion and/or visit your business premises. If you do not attend, the minutes are signed by the DJP officer alone, and the matter can be proposed for a tax audit. (Source: PMK No. 111 Tahun 2025, Pasal 6 ayat (11), Pasal 8 dan Pasal 25 ayat (8))

Is correcting my tax return better than waiting for an assessment?

Usually yes, when a genuine error exists. Interest on a voluntary correction under Article 8 of the KUP Law is calculated with a lower uplift than interest on an assessment under Article 13, and an assessment for unpaid VAT can also carry a 75% increase. The Minister of Finance publishes the monthly interest rates; check the current rate at pajak.go.id. (Source: UU KUP Pasal 8 dan 13; Kementerian Keuangan)

How long can a tax audit last?

The testing period is up to 5 months for a complete audit, 3 months for a focused audit and 1 month for a specific audit. Group-company and transfer pricing audits can be extended by up to 4 months. (Source: PMK No. 15 Tahun 2025, Pasal 6 ayat (2) dan (5))
