CV (Commanditaire Vennootschap)

Generally, CV stands for Commanditaire Vennootschap, which in English is often referred to as a Limited Partnership. A CV is a type of business entity known for its partnership characteristics, consisting of two types of partners: active partners (commanditaire) and passive partners (commanditaire). Active partners are fully responsible for the management and operations of the company, while passive partners are only responsible for a portion of the capital they invest.

The Difference Between CV and PT

The liability of PT is delegated to the Board of Directors, while the liability of shareholders is only limited to the amount of capital invested, as stated in Article 3 paragraph 1 of Law Number 40 of 2007 concerning Limited Liability Companies. While the responsibility for the CV is delegated to the Complementary Partners who are fully responsible severally and severally up to personal assets.

PT is managed by the Board of Directors who is fully responsible for the management of PT for the interests and objectives of the company and represents the company both inside and outside the court in accordance with the articles of the association while CV is managed by a complementary partner who is fully responsible for managing CV.

The PT organization is more structured while the CV is only managed by the Complementary Partner.

PT has a clear corporate organ, namely the GMS, the Board of Directors, and the Commissioner, while the CV only has a complementary partner.

In Law Number 40 of 2007, the capital for the establishment of a PT is set at Rp 50 million, unless otherwise stipulated by the law or regulations governing the implementation of such business activities in Indonesia. Of the minimum capital, as much as 25 percent of the total initial capital must be issued and fully paid up. As for CV, there is no capital limit in its establishment.

To Start PT Local You Need

  • A CV must be established by at least two people, consisting of active and passive partners.
  • The establishment of a CV must be done through the creation of a notarial deed in Indonesian.
  • The founders of the CV must be Indonesian citizens (WNI), and the ownership of the company must be 100% held by WNI.
  • Required documents include copies of the identity cards of active and passive partners, NPWP, a company domicile certificate with a stamp, a KBLI statement letter with a stamp, and the company’s phone number and email address.
  • If there is a power of attorney, the establishment of the CV must be accompanied by a power of attorney letter, minutes with letterhead, and a stamp.

Document Requirements

  • The Deed of Establishment of a CV is an official document created by a notary that includes essential details about the CV’s formation
  • Business License providing legality for the CV to conduct its business activities, usually issued by the relevant local authorities.
  • Company Tax Identification Number (NPWP) required for tax administration.
  • Joint Agreement containing provisions related to management, profit sharing, and the rights and obligations of CV members.
  • Founders’ Identity Documents such as ID cards or passports needed for identity verification and validity.
  • Company Domicile Certificate (SKDP) showing that the CV has a legitimate domicile to conduct its business.
